Terms of business

How a project or plan with us works, in plain English: a fixed price for an agreed scope, a deposit to book, the code yours on final payment, plans month to month, and the law of England and Wales.

Effective 27 October 2026. Tyche Labs Ltd.

1About these terms

These are the terms on which Tyche Labs Ltd (company number 16716814, registered office 71-75 Shelton Street, London WC2H 9JQ) provides design, development and care services. They apply to every quote, proposal and plan unless a signed agreement between us says otherwise, in which case the signed agreement wins. "We" and "us" means Tyche Labs Ltd; "you" means the person or company we are working for.

Prices on this website are starting prices in pounds sterling and exclude VAT, which we add where it applies.

2Quotes and scope

A project starts with a written proposal that sets out the scope, the price, the timeline and what is not included. The price is fixed for that scope. If the scope changes, we tell you the effect on price and timing in writing before we do the extra work, and nothing extra is charged until you have agreed it.

Quotes are valid for 30 days. Timelines start when we have your deposit and the material we need from you (content, access, decisions), and they move if that material is late.

Fixed-scope offers (App Store rescue, iPhone app MVP, small-business website) follow the scope on their own pages. We never promise App Store approval: Apple decides, and we make the strongest honest case.

3Deposits and payment

50% deposit to book, balance on launch; monthly plans billed in advance. For projects longer than eight weeks we may agree a middle payment at an agreed milestone instead, set out in the proposal.

Invoices are due within 14 days. If an invoice is more than 14 days overdue we may pause work and, for a plan, suspend the included hours, after giving you notice. We may charge statutory interest under the Late Payment of Commercial Debts (Interest) Act 1998 on business accounts.

Third-party fees, such as Apple's Developer Program, domain names, hosting outside our plans and paid services, are paid by you, in your own accounts, so they stay yours.

4Ownership and intellectual property

On receipt of the final payment for a project, all intellectual property in the work we created for you (source code, designs, documentation and content we wrote) transfers to you. Until then we own it and you have a licence to use it for review and testing.

Open-source libraries stay under their own licences. Tools, templates and know-how we built before or outside your project, and use across clients, stay ours; where they form part of your deliverable you get a perpetual, royalty-free licence to use them as part of it.

Accounts (Apple Developer, App Store Connect, Google Play, domain, hosting, analytics) are opened in your name from the start wherever the provider allows. If we hold an account on your behalf during a project, we transfer it to you at handover.

You confirm that content you give us to use (text, images, logos, data) is yours to use, and you are responsible for it.

5Monthly plans

Our care and development plans (Website care, Website care Plus, App care, Ongoing development) run on these terms:

  • Plans run month to month from the day you subscribe and are billed in advance by Direct Debit or card.
  • Cancel any time with 30 days' notice; we hand over code, hosting and store access in full.
  • Included hours are per calendar month and don't roll over; work beyond them is quoted first.
  • You get a short written report each month and a review call every quarter.
  • Prices are reviewed once a year with 60 days' notice and never rise more than CPI + 3% a year for existing clients.
  • Pay yearly for two months free.
  • Prices exclude VAT.

A plan for an app or site we did not build starts with a takeover audit, priced before we start, so the plan is based on what the code and accounts actually need.

We work to fix problems promptly and keep the product current, but we cannot guarantee uptime of services we do not run, or that Apple or Google will approve any particular update.

6Founding-client offer

Founding clients: 20% off the first three projects. In return we publish a short case study and ask for a review when we're done.

The offer's terms:

  • Three places, for the first three projects booked before 31 January 2027.
  • The project value must be £2,500 or more, excluding VAT.
  • You agree to a named case study on tychelabs.net and a public review (Google or Clutch) within 30 days of launch.
  • The 20% discount is applied to the final invoice.

The case study names you or your business, describes the problem, what we built and the outcome in plain terms, and is agreed with you before it is published. The review is your own honest words; we never write it for you or ask for a particular rating. If the project is cancelled before launch, the discount does not apply to work already invoiced.

7Cancellation

Projects: you can cancel at any time in writing. You pay for work done to that date at the proposal's day rate, up to the project price, and the deposit is credited against that. We hand over whatever has been built, with the IP transfer in section 4 applying to what you have paid for.

Plans: cancel any time with 30 days' notice, as set out above. We may end a plan with 60 days' notice, or sooner if an invoice remains unpaid after a reminder.

If you are a consumer (an individual buying for purposes outside your trade or business), you have the right under the Consumer Contracts Regulations 2013 to cancel within 14 days of agreeing to a service, without giving a reason, by emailing us. If you ask us to start work within those 14 days, you agree that you will pay for the work done up to the point you cancel, and that once the service is fully performed within that period you lose the right to cancel. Most of our clients are businesses, to whom this right does not apply.

8Responsibility and liability

We take care in our work and fix defects in what we built that you report within 30 days of launch at no charge. Beyond that, fixes are covered by a plan or quoted.

Our total liability to you under or in connection with a project or plan, whether in contract, tort or otherwise, is limited to the amount you paid us for that project or, for a plan, in the 12 months before the claim. We are not liable for loss of profit, revenue, data or goodwill, or for indirect or consequential loss. Nothing in these terms limits liability for death or personal injury caused by negligence, fraud, or anything else that cannot be limited by law.

You are responsible for the lawfulness of your product, including any personal data it handles, and for obtaining advice specific to your sector where regulation applies.

9Confidentiality and your data

Each of us keeps the other's confidential information private and uses it only for the work. We handle personal data as set out in our privacy notice, and where we process personal data on your behalf as part of a project we will sign a data processing agreement if you need one.

We may name you as a client and show the work once it is public, unless you ask us not to in writing. Case studies are always agreed with you first.

10Governing law

These terms and any dispute arising from them are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction. If a court finds any part of these terms unenforceable, the rest still applies.
